Company History Nematron has been setting the standard for industrial automation products since its founding in 1983. Nematron developed the world’s first operator interface panel, the first 8086-class industrial computer, the first Pentium-based industrial computer, and the first real-time Windows NT-based machine control software. Nematron also invented flowchart-based machine control and owns the patent on flowchart-based programming for control applications. Nematron has acquired several technologies through its acquisition of other entities since 1994, culminating in its June 2000 acquisition of A-OK Controls Engineering, Inc., a Michigan-based controls engineering firm, and its March 2001 acquisition of Optimation, Inc., an Alabama-based manufacturer of industrial communications and display products. The combination of A-OK Controls’ 80-plus application engineers with Nematron’s existing support staff has resulted in a formidable team that can drive even the largest industrial control programs. Nematron has three locations in the United States and one in the United Kingdom. The company’s headquarters are in Ann Arbor, Michigan, and employees located there are responsible for primary product design, development, assembly and post-sales support. The Company also conducts its marketing, sales and administrative activities from the Ann Arbor facility. The Company’s operator interface panels and Ethernet I/O products are produced at Optimation’s facility in Huntsville, Alabama, and the Company’s control design and application services are coordinated through A-OK Controls’ facility in Auburn Hills, Michigan. Finally, our European sales and support activities are headquartered in Waterlooville, Hampshire, UK. Through the end of 2000, Nematron conducted its sales efforts primarily through strategic sales managers, regional sales managers and a number of high technology distributors. Beginning in January 2001, Nematron changed its North American distribution channel in favor of factory rep firms in the United States, supplemented by the strategic sales staff in Europe and staff in the United States concentrating in the automotive and supporting industries. Nematron continues to partner with certain high technology distribution companies as well. This change provides a much broader sales channel with many more professional staff concentrating on existing and new customers and markets.
